TACH $200 Deposit Bonus — Terms & Conditions

Sponsor: Trucking Automated Clearing House, LLC ("TACH")

Offer: One‑time $200 promotional deposit to eligible new TACH business accounts, credited after Activation.

Note: Capitalized terms not defined here have the meanings set out in the TACH Master Services Agreement ("MSA").

1. Definitions

Activation means the earliest date on which both of the following have occurred:

  • (a) the customer (the "Carrier") has executed all final consent documents, including the MSA; and
  • (b) Carrier's first Income Deposit into its new TACH business account has been verified by TACH's customer success team in good faith.

Early Cancellation Window means the period beginning on the date of Activation and ending at 11:59 p.m. Eastern Time on the thirtieth (30th) calendar day thereafter.

Income Deposit means funds received into Carrier's TACH business account that are bona fide proceeds from Carrier's business operations (e.g., shipper, broker, or customer payments for transportation/logistics services). Income Deposits exclude: (i) transfers or deposits initiated by Carrier, its owners, or Affiliates from accounts they own or control; (ii) cash equivalents (including internal transfers, credit reversals, refunds, chargebacks, or adjustments); and (iii) any deposit or series of deposits TACH reasonably determines were designed or intended to qualify for promotional benefits or this Bonus without representing bona fide third‑party business receipts.

Qualifying TACH Fees means only the per‑deposit percentage fees charged by TACH on Income Deposits under the MSA/Schedule of Services (variable platform fee currently 1.80%–2.25% based on Fleet Size) actually collected by TACH during the applicable period. Qualifying TACH Fees exclude all third‑party/pass‑through fees (e.g., network/interchange/processor/BluePenguin/Pathward/ACH/wire/return/dispute fees), taxes, government charges, optional add‑ons, hardware, shipping, expediting, penalties, or interest.

Total Qualifying TACH Fees means the sum of all Qualifying TACH Fees actually collected by TACH during the Early Cancellation Window, calculated in accordance with the MSA.

Affiliate means any entity controlling, controlled by, or under common control with Carrier.

2. Promotional Period; Expiration

The promotional period expires at 11:59 p.m. Eastern Time on December 31, 2025 (the "Expiration Deadline"). Eligibility requires Activation on or before the Expiration Deadline. Activations occurring after the Expiration Deadline are ineligible unless TACH later publishes updated terms expressly extending or re‑issuing this Bonus. No automatic extensions apply.

3. Eligibility

To qualify for the $200 deposit bonus:

  • Carrier must be a new TACH business account (no prior TACH business account held by Carrier or its Affiliates).
  • Carrier must complete Activation (Section 1) by the Expiration Deadline.
  • Carrier must pass all required identity, KYC, and compliance checks and be lawfully permitted to do business in the United States with a valid DOT/MC or other applicable operating authority.
  • Carrier (and its owners/principals) must not be subject to U.S. sanctions or other restricted‑party prohibitions.
  • Limit one (1) Bonus per Carrier and its Affiliates; non‑transferable; void where prohibited and subject to all applicable laws.
  • Employees, contractors, and agents of TACH (and their household members) are not eligible.

4. Funding; Taxes

Funding timeline. TACH will generally credit $200 within ten (10) business days after Activation to the Carrier's TACH business account.

Nature of credit. The Bonus is a promotional deposit (not interest) funded by TACH.

Taxes. The Bonus may be taxable; Carrier is solely responsible for any associated taxes and will provide required tax forms (e.g., IRS Form W‑9) upon request.

5. Anti‑Abuse; Verification

TACH may deny, reduce, withhold, rescind, reverse, or require repayment of any improperly obtained Bonus if TACH determines in good faith that fraud, abuse, manipulation, ineligibility, or violation of these Terms or the MSA occurred. Examples include non‑bona‑fide Income Deposits, circular/self‑funded transfers, artificially inflated deposit activity, duplicate accounts to obtain multiple bonuses, or misrepresentation of identity, business status, or fleet size. TACH may require reasonable documentation to verify eligibility and Income Deposits. For the avoidance of doubt, in a valid early cancellation under the MSA's 30‑Day Money‑Back Guarantee with no fraud or abuse, TACH will not seek repayment of the $200 Bonus itself where Total Qualifying TACH Fees are less than or equal to $200, and will apply the offset mechanics in Section 6.

6. Interaction with the 30‑Day Money‑Back Guarantee

If Carrier receives the $200 Bonus and validly cancels within the Early Cancellation Window under the MSA's 30‑Day Money‑Back Guarantee (MSA §4(i)):

  • If Total Qualifying TACH Fees ≤ $200, no refund is paid (the Bonus offsets such fees in full), and TACH will not seek repayment of any portion of the $200 Bonus.
  • If Total Qualifying TACH Fees > $200, TACH will pay a refund equal to Total Qualifying TACH Fees minus $200.
  • TACH may apply the $200 offset by withholding up to $200 from any refund otherwise payable.

6A. Posting Errors; Duplicates; Set‑Off

If a Bonus is credited in error, duplicated, or later determined to have been improperly awarded under these Terms or the MSA, TACH may reverse the credit or set off the amount against any refunds, credits, or other amounts payable to Carrier, or debit Carrier's TACH business account, in accordance with the MSA. TACH will notify Carrier of any such correction.

7. Combination with Other Offers

Unless expressly stated by TACH in writing, this Bonus may not be combined with other promotions, discounts, or incentives. TACH's decisions regarding eligibility and award are final and binding absent manifest error.

8. Not Credit or Lending

This Bonus is not a loan, line of credit, or extension of credit. Any references to a partner's internal "credit limit" in TACH materials refer to an internal factoring exposure parameter used by a third‑party factoring provider and do not evidence or imply the availability of consumer or commercial credit.

9. Privacy

Your information will be processed in accordance with the TACH Privacy Policy. Where you elect to use optional cash‑advance (invoice factoring) features, TACH may share derived/aggregated business‑financial metrics and invoice details with a factoring partner to evaluate eligibility and set an internal factoring limit (see the Privacy Policy and your MSA, including the Financial Data Sharing Consent, for details).

10. Changes; Termination

TACH may update these Terms & Conditions from time to time by posting a revised version with a new "Last updated" date. Changes apply prospectively and do not affect Activations completed before the posting date. TACH may extend or re‑issue this Bonus by publishing updated terms. There are no automatic extensions.

11. Governing Terms; Disputes

If Carrier has executed the MSA, these Terms are incorporated by reference and, solely for disputes relating to this Bonus, the MSA's governing law and dispute resolution provisions apply (currently Georgia law and binding arbitration in Fulton County, Georgia).

If Carrier has not yet executed the MSA, these Terms are governed by Georgia law, and any dispute will be resolved by binding arbitration administered by the American Arbitration Association in Fulton County, Georgia, by a single arbitrator under its commercial rules. Either party may seek provisional injunctive relief in a court of competent jurisdiction.

Class Action/Jury Waiver (to the maximum extent permitted by law). Claims must be brought individually, not as a class, collective, representative, or private attorney general action, and the arbitrator may not consolidate more than one person's or entity's claims. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL. If this waiver conflicts with the MSA, the MSA controls.

12. Miscellaneous

No assignment. The Bonus is not assignable or transferable.

No waiver. A failure to enforce any term is not a waiver of future enforcement.

Severability. If any provision is held invalid, the remainder remains in effect.

13. Illustrative Refund Examples (non‑contractual)

Example A:

You Activate, receive the $200 Bonus, and cancel within 30 days. Your Total Qualifying TACH Fees during that period = $160. Refund = $0 (Bonus offsets fees in full; no Bonus repayment).

Example B:

Same facts, but your Total Qualifying TACH Fees = $275. Refund = $275 − $200 = $75.
